the said school board for diesel fuel, gasoline, oil, tires, tubes,
fire extinguishers (5 lb, 2 lb, and 3 lb) tire repair parts, bus doors,
windshield glass, batteries, first-aid kits, seat covers (new &
repaired), anti-freeze, and other parts and accessories. The bid will

The gasoline proposed to be purchased
and all other produces in which bids are submitted must be on regular
and premium gas, diesel fuel, and standard parts and produces suitable
for using in the county schools and the county buses. Bidders must also
be able to carry the account longer than thirty (30) days. The Marshall
County Board of Education will accept bids for Marshall County Board of
Education and Holly Springs School District on the following products:
oil, tires, tire repair parts, bus doors, windshields, and all parts to
be used on the buses for listed school districts.
The Board of Education reserves the
right to reject any/or all bids, to waive any formalities in any bid.

The Marshall County Schools are in the
process of obtaining sealed bids for propane gas for the school year
2010-2011. Bids will be on a fixed rate. It is the responsibility of
the bidder to maintain adequate level of propane in tanks or service

NOTICE IS HEREBY GIVEN that the Mayor
and Board of Aldermen of the Town of Byhalia, Mississippi (the
"Governing Body" of the "Municipality") will receive sealed bids in its
regular meeting place in the Town Hall in the Municipality until the
hour of 4:00 o'clock p.m. on May 18, 2010, and such bids should be
delivered to the Town Clerk at her office in the Town Hall of the
Municipality. The Town Clerk will act on behalf of the Governing Body
to receive bids at the aforesaid date, time and place, at not less than
par and accrued interest to the date of delivery thereof, of an issue
of Twenty-five Thousand Dollars ($25,000) General Obligation Water
System Bonds, Series 2010, of the Municipality (the "Bonds").
THE BONDS: The Bonds will be
dated and bear interest from the date of delivery thereof; will be
delivered in definitive form as registered bonds; and will bear
interest, payable on May 1, 2011, and semiannually thereafter on May 1
and November 1 of each year, at the rate or rates offered by the
successful bidder in its bid in accordance with this Notice of Bond
Sale. For bid purposes, the date of the Bonds will be assumed
to be May 25, 2010.
MATURITIES: The Bonds will
mature serially, with option of prior payment, on May 1 in each of the

REDEMPTION: The Bonds
maturing after May 1, 2012, are subject to redemption prior to their

interest to the date fixed for redemption.
AUTHORITY AND SECURITY: The
Bonds will be issued pursuant to the provisions of Sections 17-21-51
through 17-21-55, Mississippi Code of 1972 (the "Act"), and shall be
general obligations of the Municipality payable as to principal and
interest out of and secured by an irrevocable pledge of the avails of a
direct and continuing tax to be levied annually without limitation as
to rate or amount upon the taxable property within the geographical
limits of the Municipality.
FORM OF BIDS: Bids should be
addressed to the Mayor and Board of Aldermen and should be plainly
marked "Bid for General Obligation Water System Bonds, Series 2010, of
the Town of Byhalia, Mississippi," and should be filed with the Town
Clerk of the Municipality on or prior to the date and hour hereinabove
named. All bids should be submitted substantially in the form
prepared by the Municipality, copies of which may be obtained from the
Clerk of the Municipality at the address shown below.
INTEREST RATE AND BID
RESTRICTIONS: The Bonds shall not bear a greater overall
maximum interest rate to maturity than eleven percent (11%) per annum,
nor shall the interest rate for any one maturity exceed eleven percent
(11%) per annum. No Bond shall bear more than one (1) rate of
interest; each Bond shall bear interest from its date to its stated
maturity date at the interest rate specified in the bid; all Bonds of
the same maturity shall bear the same rate of interest from date to
maturity; and the lowest interest rate specified shall not be less than
seventy percent (70%) of the highest interest rate specified.
Each interest rate specified in any bid must be a multiple of
one-eighth of one percent (1/8 of 1%) or one-tenth of one percent (1/10
of 1%) and a zero rate of interest cannot be named.
GOOD FAITH DEPOSIT: Each bid
must be accompanied by a cashier's check, certified check, or exchange,
issued or certified by a bank located in the State of Mississippi,
payable to the Mayor and Board of Aldermen of the Town of Byhalia,
Mississippi, in the amount of Five Hundred Dollars ($500) as a guaranty
that the bidder will carry out its contract and purchase the Bonds if
its bid be accepted.
REQUIRED REPRESENTATIONS FROM
PURCHASER: It shall be a condition of the obligation of the
Municipality to deliver the Bonds that contemporaneously with or prior
to delivering the Bonds the Municipality shall receive from the
successful bidder a letter in form and substance satisfactory to the
Municipality to the effect that:
(a) The successful bidder is purchasing
the Bonds for its own account for the purpose of investment and not
with a view toward distribution or resale;
(b) Said bidder has such knowledge and
experience in financial matters that it is capable of evaluating the
merits and risks of purchasing the Bonds;
(c) Said bidder has read and fully
understands the Bond Resolution under which the Bonds are issued;
(d) Said bidder has had an opportunity
to obtain, and it has received from the Municipality all other
information and material which it regards as necessary to evaluate the
merits and risks of its investments;
(e) Said bidder recognizes that in this

DOLLARS ($954,700) FOR THE PURPOSE OF IMPROVING, REPAIRING AND
EXTENDING THE COMBINED WATERWORKS AND SEWER SYSTEM OF SAID
MUNICIPALITY, CONSISTING PRIMARILY OF IMPROVEMENTS, REPAIRS AND
EXTENSIONS TO THE WATERWORKS AND WATER SUPPLY FACILITIES OF SAID
SYSTEM; AND DIRECTING PUBLICATION OF NOTICE OF SUCH INTENTION.
WHEREAS, the Mayor and Board of
Aldermen of the Town of Byhalia, Mississippi (the "Governing Body" of
the "Municipality"), acting for and on behalf of the Municipality,
hereby finds, determines, adjudicates and declares as follows:
The waterworks, water supply, sewage
and sewage disposal facilities of the Municipality have heretofore been
combined and are operated as a combined system known as the combined
waterworks and sewer system of the Municipality (the "System").
It is necessary and advisable and in
the best interest of the Municipality and its inhabitants to issue
combined waterworks and sewer system revenue bonds of the Municipality
in the maximum principal amount of Nine Hundred Fifty-four Thousand
Seven Hundred Dollars ($954,700) for improving, repairing and extending
the combined waterworks and sewer system of said Municipality,
consisting primarily of improvements, repairs and extensions to the
waterworks and water supply facilities of said system (the "Authorized
Purpose"), for which purpose there are no other available
funds on hand.
The Governing Body has employed Elliott
& Britt Engineering, P.A., Oxford, Mississippi, a competent
engineering firm, to study the System, determine the nature and extent
of the improvements, repairs and extensions necessary thereto, and make
an estimate of the cost thereof.
Said engineers have determined the
nature and extent of the necessary improvements, repairs and extensions
to the System and have made an estimate of the cost thereof.
Based on that information, the estimated cost thereof is the aggregate
amount of Two Million Three Hundred Twenty Thousand Six Hundred Dollars
($2,320,600).
Said improvements, repairs and
extensions are necessary, are economically feasible and would be in the
public interest and of benefit to the Municipality, and the findings of
said engineers are hereby adopted, including the estimate of the costs
of said improvements, repairs and extensions.
Under the provisions of Sections
21-27-11 through 21?27?69, Mississippi Code of 1972, as amended (the
"Act"), the Municipality is authorized to make such improvements,
repairs and extensions and to provide for the payment of the costs
thereof, or any portion of such costs, by and through the issuance of
bonds, the principal and interest of and on which shall be payable from
the revenues of the System.
The Municipality reasonably expects
that it will incur expenditures for the aforesaid purpose prior to the
issuance of said bonds and that it should declare its official intent
to reimburse such expenditures made in anticipation of the issuance of
said bonds.
A sum not exceeding Nine Hundred
Fifty-four Thousand Seven Hundred Dollars ($954,700) must be provided
and raised by the issuance of special obligation bonds in said amount,
payable both as to principal and interest from the revenues of the
System, as authorized by the Act.
NOW, THEREFORE, BE IT RESOLVED BY THE
GOVERNING BODY AS FOLLOWS:
The Governing Body does hereby declare
its intention to issue combined waterworks and sewer system revenue
bonds of the Municipality in the maximum principal amount of Nine
Hundred Fifty-four Thousand Seven Hundred Dollars ($954,700) (the
"Bonds") for the Authorized Purpose. Pursuant to Section 1.150-2 of the
Treasury Regulations (the "Reimbursement Regulations"), the Governing
Body hereby declares its official intent to reimburse expenditures made
for the Authorized Purpose prior to the issuance of the Bonds with
proceeds of the Bonds to the extent permitted by the Reimbursement
Regulations.
Said bonds in the amount, for the
purpose and secured as aforesaid will be authorized to be issued at a
meeting of the Governing Body to be held at the Town Hall on June 1,
2010, at 5:30 o’clock p.m., which date so fixed will be more than ten
(10) days after the third (3rd) date of publication of this resolution,
as directed by Section 3 hereof. If a petition signed by not less than
twenty percent (20%) of the qualified electors of the Municipality be
filed objecting to and protesting the issuance of such revenue bond
issue on or before the aforesaid date and hour, then an election on the
question of the issuance of such bonds shall be called and held as
provided by law. If no such protest be filed, then such bonds
may be issued without an election on the question of the issuance
thereof, and may be sold under the regular procedure for selling such
bonds.
This resolution shall be published once
a week for at least three (3) consecutive weeks in The South Reporter,
a newspaper published in the City of Holly Springs, Mississippi, and
having a general circulation in the Municipality, no newspaper being
published in the Municipality, and being a qualified newspaper under
the provisions of Section 13-3-31, Mississippi Code of 1972.
The third (3rd) such publication shall be made not less than eleven
(11) days prior to the date specified in Section 2 hereof.
The Town Clerk of the Municipality
shall be and is hereby directed to procure from the publisher of the
aforesaid newspaper the customary proof of publication of this
resolution and to have the same before the Governing Body on the date
and hour specified in Section 2 hereof.

You have been made a Defendant in the
suit filed in this Court by Celestine Jones, Plaintiff, seeking to
quiet and confirm title.
You are required to mail or hand
deliver a written response to the Complaint filed against you in this
action to J. Kizer Jones, Attorney At Law, the attorney for the
Plaintiff, whose address is Post Office Box 117, Holly Springs,
Mississippi, 38635.
Your response must be mailed or
delivered not later than (30) thirty days after the 29th day of April,
2010, which is the date of first publication of this summons. If your
response is not so mailed or delivered, a judgment by default will be
entered against you for the money or other relief demanded in the
Complaint.
You must also file the original of your
response with the Clerk of this Court within a reasonable time
afterward.
