NOTICE OF SUBSTITUTE TRUSTEE'S SALE
WHEREAS, on May 2, 2007, Imperial Consultants, Inc. executed a Deed of
Trust and Assignment of Rents to TRSTE, Inc, Trustee, on certain real
property situated in Marshall County, Mississippi, to secure a debt of
Imperial Consultants, Inc., in the original principal amount of
$125,000.00 (the "Note") owed to Wachovia Bank, National Association
(“Wachovia”) which Deed of Trust and Assignment of Rents is recorded in
Book 438 at Page 809 in the Office of the Chancery Court Clerk of
Marshall County, Mississippi (the "Deed of Trust"), said Deed of Trust
being incorporated herein by reference;
WHEREAS, Wachovia is the true and lawful owner and holder of the Note
which is secured by the Deed of Trust and other liens (the "Debt");
WHEREAS, by Appointment of Substitute Trustee recorded as Instrument
Number 2008004975 in the Office of the Chancery Court Clerk of Marshall
County, Mississippi, Wachovia, exercising its authority as such owner
and holder, appointed R. Spencer Clift, III, as Substitute Trustee
under the Deed of Trust; and
WHEREAS, default has been made in the payment of Debt and obligations
secured by said Deed of Trust, and Wachovia, as the owner and holder of
the Debt has declared the entire balance due and payable and has
instructed the undersigned Trustee to foreclose said Deed of Trust in
accordance with its terms and provisions;
NOW, THEREFORE, by the authority vested in me as Trustee under said
instruments, I will on Thursday the 18th day of December, 2008, between
the hours of 11:00 a.m. and 4:00 p.m. at South door of the Marshall
County Courthouse, 128 East Vandorn, Holly Springs, Mississippi, offer
for sale and sell at public auction to the highest and best bidder for
cash the property therein conveyed which is situated in the State of
Mississippi, County of Marshall, and is described as follows: °

Commence at a 1/2” re-bar found at the N.W. Corner of Lot 41; thence
S°46’00”E 351.37 feet, to a p-k nail found on the south side of a
concrete curb, and the east r/w of Mississippi Highway 7, said point
being the POINT OF BEGINNING, thence along a curve to the left with a
delta angle of 01°30’09” having a radius of 5777.38 feet and a arc
length of 151.50 feet, with a chord bearing and distance of N 5°41’15”W
151.49 feet, along said east r/w to a 1/2” re-bar set; thence N
89°51’24”E 405.40 feet, along the north line of said property to a 1/2”
re-bar set; thence S 5°37’28”E 268.79 feet, to a 1/2” re-bar set on the
north line of Rust College, thence S 89°30’05”W 228.98 feet, along a
chain link fence to 1/2” rebar found; thence N °41’38”E 114.09 feet, to
a 1/2” re-bar found; thence N 88°35’51”W 179.84 feet, along the south
side of a concrete curb to the POINT OF BEGINNING.
Being the same property conveyed to Imperial Consultants, Inc., by
Warranty Deed of record in Book 374, Page 257 in the Office of the
Chancery Court Clerk of Marshall County,
Mississippi.
Said property is known as 527 Highway 7 North, Holly Springs,
Mississippi 38635, and is also designated Tax Parcels 89L-31-03300 and
89L-31-03301, but such address or designation is not a part of the
legal description of the property sold herein and in the event of any
discrepancy, the legal description herein shall control.
Said sale shall be made for cash to the highest and best bidder in cash
subject to the following:
Any unpaid taxes against the property; and
Any recorded easements, conditions, covenants, rights-of-way or
subdivision plats affecting the property; and
Any dedication of roads affecting the property and any governmental
zoning and subdivision ordinances or regulations in effect; and
Any prior or superior liens, judgment, deeds of trust or other
interests of record.
Wachovia reserves the right to retain any escrows, reserves, security
deposits, or other funds or rights to payment of funds and to apply the
same in accordance with the terms and provisions of the Deed of Trust
and related documents.
The right is reserved to adjourn the day of sale to another day and
time certain, without further publication and in accordance with law,
upon announcement of said adjournment on the day and time and place of
sale set forth above.
The failure of any high bidder to pay the purchase price and close this
sale immediately shall, at the option of the Trustee, be cause for
rejection of the bid. The proceeds derived from the sale of
the property will be applied as provided for in said Deed of Trust and
are made a part hereof as if set forth verbatim herein.

Please be advised that sealed bids will be received by the Mayor and
Board of Aldermen for the Town of Byhalia at the Town Hall for the Town
of Byhalia located at 161 Highway 309 South, Byhalia, Mississippi until
3:00 o’clock P.M. on Tuesday, December 9, 2008, and thereafter publicly
open them for:
A. Furnishing material, placing, and compacting double bituminous
service treatment per mile. A mile shall be constructed in accordance
with current State Aid Specifications and shall consist of, but not
limited to seal coarse (#7 limestone), mat coarse (#56 and #57
limestone), liquid asphalt (CRS-2 or CRS-2p), and, or prime coat. Rates
of application shall be as specified by State Aid Specifications.
B. Furnishing material, placing, and compacting seal surface consisting
of #7 limestone and CRS-2 or CRS-2P. According to State Aid
Specifications.
Work shall be completed with 45 calendar days of the date of work order.
