SUBSTITUTE TRUSTEE'S NOTICE OF SALE

WHEREAS, on April 11, 2002, Tina Barnes and Ray Barnes, Jr. executed a Deed of Trust to Frank A. Riley as Trustee for the benefit of BancorpSouth Bank, which Deed of Trust was recorded in Book 303, Page 401 in the Office of the Chancery Clerk of Marshall County, Mississippi; and

WHEREAS, BancorpSouth Bank, the holder of said Deed of Trust and the Note secured thereby, substituted Scot P. Goldsholl as Trustee therein, as authorized by the terms thereof, as evidenced by an instrument dated August 23, 2005, and recorded in Book 402, Page 725 in the Office of the Chancery Clerk of Marshall County, Mississippi; and

WHEREAS, default having been made in the terms and conditions of said Deed of Trust, and the entire debt secured thereby having been declared to be due and payable, and the legal holder of said indebtedness, BancorpSouth Bank, having requested the undersigned Substitute Trustee to execute the trust and sell said land and property in accordance with the terms of said Deed of Trust for the purpose of raising the sums due thereunder, together with attorney's fees, Substitute Trustee's fees and expenses of sale.

NOW, THEREFORE, I, Scot P. Goldsholl, Substitute Trustee, will on March 23, 2006, offer for sale at public outcry to the highest bidder for cash, within legal hours (between the hours of 11:00 a.m. and 4:00 p.m.) at the south front door of the Marshall County Courthouse in Holly Springs, Mississippi, the following-described property:

Lots 1 and 2 of the W.F. Moore Subdivision on Section 23, Township 2 South, Range 5 West, according to plat of said subdivision, recorded in Plat Book 4, Page 27, now re-filed as Plat File 236-B in the land records of Marshall County, Mississippi.

LESS AND EXCEPT:

Begin at the Northwest corner of said Lot No. 1; run thence in a Southerly direction along and with the West line of said Lot 1 and the West line of said Lot 2 to the Southwest corner of said Lot 2; run thence along and with the South line of said Lot 2 a distance of 397.2 feet; run thence in a Northeasterly direction to a point on the North line of said Lot 1 which point is located a distance of 120 feet West of the Northeast corner of said Lot 1; run thence in a Westerly direction along and with the said North line of said Lot 1 to the said Point of Beginning, containing 7.3 acres, more or less.

LESS AND EXCEPT:

Lot Number 2 of the W.F. Moore Subdivision in Section 23, Township 2 South, Range 5 West, according to the plat of said subdivision, recorded in Plat Book 4 at Page 27 in the Office of the Chancery Clerk of Marshall County, Mississippi.

THE AFORE-DESCRIBED PROPERTY IS FURTHER DESCRIBED AS FOLLOWS AND - IN ADDITION - IS SUBJECT TO THE EASEMENT DESCRIBED WITHIN THE BELOW DESCRIPTION:

A 1.47 acre tract of land, being a part of Lot No. 1 of the W.F. Moore Subdivision located in the Southeast Quarter of Section 23, Township 2 South, Range 5 West, Marshall County, Mississippi, described as follows:

Commencing at an old iron pipe at the Northwest Corner of the East half of the Southeast Quarter of Section 23, Township 2 South, Range 5 West; thence South 89 degrees and 18 minutes East, along the remnants of an old fence line, 650.36 feet to an iron pin for the Point of Beginning; thence South 89 degrees and 18 minutes East, continuing along said fence line, 120.00 feet to an old iron pipe on the West right-of-way line of Mississippi State Highway No. 309; thence South 10 degrees and 33 minutes East, along said line of the highway, 270.30 feet to an old iron pipe; thence South 78 degrees and 52 minutes West 327.90 feet to an iron pin; thence North 24 degrees and 44 minutes East, generally along a fence line; 363.90 feet to the Point of Beginning, being 1.47 acres of land all in the Southeast Quarter of Section 23, Township 2 South, Range 5 West, Marshall County, Mississippi.

The above described 1.47 acres of land is subject to a 20.00 foot perpetual access easement, along an existing gravel drive, described as commencing at the Southeast Corner of the above described property; thence South 78 degrees and 52 minutes West 24.00 feet to the Point of Beginning; thence North 18 degrees and 08 minutes East 50.00 feet to a point on the West right-of-way line of Mississippi State Highway No. 309, being a 20.00 foot perpetual access easement, along an existing gravel drive, 10.00 feet each side of the above described line.

Title to the above described property is believed to be good, but I will convey only such title as vested in me as Substitute Trustee.

LEGAL NOTICE

The Holly Springs Housing Authority will hold a public hearing to obtain comments on its FY 2006 Public Housing Authority Agency Plan to be presented to the Department of Housing and Urban Development.

Said hearing will be held at 12:00 p.m. on Tuesday, March 21, 2006, at the Housing Authority Central Office, 700 Hwy 4 East, Holly Springs, Mississippi.

The Housing Authority Agency Plan identifies basic goals and strategies over a five year period as required by HUD Quality Housing and Work Responsibility Act of 1998. Said Agency Plan will be available for review and/or inspection by the public at the Holly Springs Housing Authority office during office hours.

WHEREAS, John Kirby and Sherry Kirby, on the 6th day of November, 1998, executed a certain Deed of Trust to J. Kizer Jones, Attorney at Law, Trustee, New South Federal Savings Bank Manufactured Housing Division, Beneficiary, which Deed of Trust is recorded in Book 246, Pages 653-660 of the Record of Mortgages and Deeds of Trust on Land, Marshall County, Mississippi; and,

WHEREAS, New South Federal Savings Bank appointed and substituted Jim F. Spencer, Jr. as Substituted Trustee in the place and stead of J. Kizer Jones, original trustee of the Deed of Trust, as was its right to do under the terms of said Deed of Trust, said Substitution of Trustee being recorded in Deed of Trust Book 402, commencing at Page 470, Marshall County, Mississippi; and,
