The County proposes to use the TIF Plan in compliance with the Tax Increment Financing Redevelopment Plan, Marshall County, Mississippi, 2006 (the “Tax Increment Financing Redevelopment Plan”), and further, to designate the project described in the TIF Plan as appropriate for development and tax increment financing. 1. The general scope of the TIF Plan is for the City of Holly Springs, Mississippi (the “City”), to issue tax increment financing revenue bonds or notes for the Project (as defined below) in an amount not to exceed Five Million Eight Hundred Thirty Thousand Dollars ($5,830,000) (the “City TIF Bonds”), and for the County to enter into an interlocal agreement with the City so that such City TIF Bonds will be secured solely by a pledge of the increased ad valorem taxes of the City and the County on real and personal property generated in the TIF District, in order to provide funds necessary to construct various public infrastructure improvements in the TIF District or outside the TIF District, including but not limited to, installation of utilities such as water, sanitary sewer, and natural gas lines; relocation of utilities; installation and relocation of electrical services; installation of storm drainage; construction of roadways with curb and gutter, sidewalks; installation of traffic signalization and signage; grading; landscaping of rights-of- way; purchase of rights-of-way necessary for the installation of the infrastructure improvements described hereinabove; capitalized interest; engineering; TIF Plan preparation fees; other incidental costs; and related professional fees. The City TIF Bonds shall be secured solely by a pledge of the incremental increase in ad valorem tax revenues of the City and the County on real and personal property in the TIF District, as described in the TIF Plan and will not be a general obligation of the County secured by the full faith, credit, and taxing power of the County or create any other pecuniary liability on the part of the County other than the pledge of the incremental increase in the ad valorem taxes set forth above. 2. Additionally, when infrastructure improvements to be undertaken by the County are outside the TIF District, the scope of the TIF Plan provides for Marshall County to issue its tax increment financing revenue bonds or notes for the Project (as defined in paragraph 1. above) in an amount not to exceed One Million Dollars ($1,000,000) (the “County TIF Bonds”). Such County TIF Bonds will be secured solely by a pledge of the increased ad valorem taxes of the County on real and personal property generated in the TIF District, in order to provide funds necessary to construct various public infrastructure improvements outside the TIF District, including, but not limited to, installation of utilities such as water, sanitary sewer, and natural gas lines; relocation of utilities; installation and relocation of electrical services; installation of storm drainage; construction of roadways with curb and gutter, sidewalks; installation of traffic signalization and signage; grading; landscaping of rights-of-way; purchase of rights-of-way necessary for the installation of the infrastructure improvements described hereinabove; capitalized interest; engineering; TIF Plan preparation fees; other incidental costs; and related professional fees. The County TIF Bonds shall be secured solely by a pledge of the incremental increase in ad valorem tax revenues of the County on real and personal property generated in the TIF District, as described in the TIF Plan and will not be a general obligation of the County secured by the full faith, credit, and taxing power of the County or create any other pecuniary liability on the part of the County other than the pledge of the incremental increase in the ad valorem taxes set forth above. Prior to the issuance of the County TIF Bonds for any improvements outside the TIF District, the Board of Supervisors shall make a finding that the TIF District will be benefited by such improvements. Construction of the projects described herein and payment of the City TIF Bonds and County TIF Bonds issued for such projects will be paid as hereinabove set forth and will not require an increase in any kind or type of taxes within the County. The City and County may exercise their authority under Chapter 45 of Title 21, Mississippi Code of 1972, as amended (the “Act”), individually or jointly, pursuant to an Interlocal Cooperation Agreement as authorized by Section 21-45-3 of the Act.
